Does anyone have a link or a SIMPLE explanation on how this works. I have searched and read till my eyes bleed, but am still clueless.

Starting to get reports that LCU X has had some devices upgraded at place X.

2nd LCU/Air Unit question. My PI forces for example, have a lot of restricted air and LCU units that are going to get crushed soon. Are there ANY units that are worth disbanding or paying PP for to save them?

Its probably too late now, but for the future.

Care to be a bit more precise as to what exactly still leaves you clueless and what doesn't.

For LCUs, TOE upgrades and device upgrades are different, but related concepts.  They have different requirements.  Then there is air unit upgrades which is different again but possible not what concerns you at present.  Plus just not to leave them out, ship upgrades is different again.

Sorry Willaverill - few things in this game are simple. It is designed to mimic real life which is .... complicated.
That does not mean you should give up- after a few games of the smaller scenarios you start to get a good feel for how to manage things and what the various buttons and switches do.

Not sure why you are concerned about the first upgrade message - getting newer versions of devices is usually a good thing. The only down side is if you drain the device pool for the new device before a unit you want to get them actually does. For this reason, all experienced players of this game set the switch for "automatic upgrades" to OFF. This enables them to manually turn on the upgrades just for the units they want to upgrade first.

For your second question, I do not know if the aircraft being used by the PI units can be used by any other nationality, so disbanding the units may just put them in limbo until the PI is recaptured.

I've never bothered to try and save any "P.I." units...PPs better spent elsewhere. U.S. units in the "P.I.", yes. Catalinas, B17s, and P40s are tops on the list. Usually you can't get the transport ships in/out fast or safe enough to put food on the island...let alone a ground evacuation unless you have a very slow opponent.
