Sure, any General is better then no General

which if it is a poor one star, he will help out a single Bde in that Div, a poor 2 star will take Command of the Div and effect the whole Div

Yes. There are definitely benefits, even when one has bad generals. The manual at various points describes the sort of effects generals can have. Choosing just a random one, go to the "Individual Unit Rallying Bonuses" section and you'll see things that generals, even bad generals, can do.
