Will there be any differences between the Down load version and the disk version?

No. As I understand it the disk version won't be available until the initial hiccup (see posts elsewhere) is resolved, but at that time download purchases can patch-up anyway, and both will have the same product. The same serial number registration is used in both cases (i.e no Starfarce, Securom or anything that requires you keep the disk in the drive). You get a printed manual with the disk, of course.
